GUEST APPEARANCE TERMS & CONDITIONS

(For Guests Resident in the United States)

Thank you very much for your agreement to appear on The Schwab Network (the “Network”). The following will confirm what Charles Schwab Media Productions Company (including its affiliate entities, the “Company”) is permitted to do with the live rendition and any recordings of your appearance. By appearing on the Network, you agree to these terms.

You are appearing, and may in the future appear, on one or more programs or segments on the Network. By appearing on the Network, you represent that you have obtained express permissions from your employer (as needed) for your appearance on the Network. You acknowledge that you are doing so without compensation, including, without limitation, without any promise by the Company to distribute or otherwise use your appearance.
You acknowledge and agree that by virtue of your appearance on the Network, the Company may take pictures or make video or audio recordings which may capture your performance, image, name, likeness and/or voice (to make it easier, we’ll call these all the “Session”).
You understand that the Company owns the copyrights in the Session, and that you do not have any copyrights in the Session. If and to the extent you may be able to claim any ownership interest in the Session, you hereby assign to the Company all of your rights, title and interest in and to all Session and all intellectual property rights therein, and agree to provide reasonable assistance to the Company at the Company’s expense in documenting such assignment, without any further compensation, award and/or consideration whatsoever.
To the extent any of the Sessions capture your performance, image, name, likeness and/or voice, you give the Company the right to use the Session anywhere and for any purpose, including without limitation as part of Network programming, however distributed in any media now or in the future, as well as for advertising and marketing of the Network, in any media now or in the future (including without limitation social media). You also give the Company the right to alter those Sessions as part of that use (such as by cropping, doing a voice-over, or combining with other text or graphics, among other alterations). You acknowledge that you have no right to review or approve any alterations to the Session made by the Company before they are used by the Company.
You agree that any interviews, testimonials or other statements from you relating to the Network or its content that are recorded or captured in the Session or in writing reflect your current honest and truthful opinions, findings or experience.
If you are licensed with FINRA or the NFA of the United States, or if you are a licensed/regulated person under any regulatory authorities of including but not limited to securities and futures, financial products in any jurisdictions, you acknowledge and agree that the Company is not responsible for supervision of your appearance on the Network. You further represent and undertake that you are not in violation of any law and regulation governing your employer, or the employment terms between you and your employer.
You release the Company from any liability and waive any legal or other claims you have or may have in the future that arise from the Company’s use of the Session.
You agree that the permissions, waiver and release you give the Company in these Terms and Conditions are permanent and can never be revoked by your or your heirs, legal representatives or assigns.
You understand and acknowledge that you will not be paid any compensation for the permissions, waiver and release that you give the Company under these Terms & Conditions.
You agree to provide, at least four hours in advance of your appearance, any regulatory or firm disclosures you deem necessary to comply with any relevant laws or regulations in connection with your appearance on the Schwab Network. You further agree to provide such disclosures in a separate and distinct communication to your Schwab Network booking agent so they may be graphically displayed at the time of your appearance.
